As a member-driven organisation, IT Professionals New Zealand (ITP) holds an Annual General Meeting (AGM) to maintain transparency, accountability, and good governance. We are a not-for-profit incorporated society governed by a Constitution and Bylaws, and every member has a role to play in shaping our future. This page explains why we hold an AGM, what members vote on, and how our governance structure works—including the role of Branch Committees and the National Board.

  • ITP is an incorporated society under New Zealand law. We are required to hold an AGM to report to members, approve financials, and enable members to have their say. It’s a key part of how we ensure openness and accountability in a member-led organisation.

  • At the AGM, we:

    • Present the Annual Report and Financial Statements

    • Provide updates on ITP's strategy and performance

    • Allow members to vote on constitutional or governance matters

    • Announce the results of National Board and Branch Committee elections

    • Answer questions from members

  • All members are welcome to attend, regardless of location. We typically hold the AGM online to ensure it’s accessible to members across Aotearoa and overseas.

  • Voting rights are granted to Full Members, Fellows, and Honorary Fellows as outlined in our Bylaws. Members may vote on governance changes and election outcomes.

  • The National Board is the governance body that oversees the strategic direction of ITP. Board members are elected by the membership and represent different regions across New Zealand. The Board sets the organisation’s strategy, reviews operational performance, and ensures compliance with legal and fiduciary responsibilities.

  • Yes. Board members contribute their time and expertise voluntarily. While membership fees are waived for Board members, the role involves attending regular meetings, contributing to strategic planning, and supporting the CEO and staff with governance oversight.

  • ITP has a network of Branches across Aotearoa, which help bring our community together at a local level. Each Branch reflects the regional voice of the profession and helps connect members through events, discussions, and support.

  • Branch Committees:

    • Organise local events and activities

    • Support ITP initiatives in their region

    • Bring a local perspective to national conversations

    • Help build awareness of ITP’s work

    Committee members are volunteers, usually meeting monthly or bi-monthly, and play an important role in supporting the profession at the grassroots level.

  • If you're based overseas or a member of our Online Branch, you can still vote for the National Board but do not have a local Branch Committee to vote for.
